I think the auditor Yes, auditor is Alan Apprio and Representative Apprio is a sus. Um, hey sis, are you going to be sharing or anything or just talking? Yes, I'll be sharing. Sorry, I can barely hear you, Jeff. Sorry about that. So, make make sure that you have the ability to share. Yeah. Can you make a request? As a matter of fact, let me double check.
  5. 5:59There you go. Is it showing? Yes. Can you also hear me well? Yes, very welcome. Right. Thank you so much. Good afternoon everyone. Like presented. I'm his Rosales. I'm the auto manager here at Apprio for this engagement. My other partner Brandon could not make it today. He had other things going on. Apologies for that. So, we'll be presenting the fiscal year ending 6:30 2025. This was last year's or a year ago and I know we have been trying to meet and it just hadn't worked out before but we're finally here.
  6. 6:42Yes. So the engagement team was composed of Brandon like I mentioned the partner he was supporting us essentially from the background and also like at the high level um and also in charge of the signature of the reports. I was more in charge of day-to-day uh transactions and making sure the staff has everything that they need and also communication with Mr. Dodson and Abigail Tesh was her senior in this engagement. She was there actually on the field with me and another staff testing tenant files pro testing and standard testing as well. We also had a
  7. 7:24few other staff that worked on the engagements. I believe we had like three more staff. So overall the financial statements had a clean opinion unmodified which is great. It's the best that you can get on a report. That was for the financial statements and for the major federal programs as well. We did not have any material weaknesses as findings. We did have a significant deficiency. We're going to discuss that one later in the presentation. But that is pretty good. A significant deficiency is very low and it's not going to affect the agency at all.
  8. 8:07So the authority spent 1.3 million in federal awards that was all under section 8 which was the major program. The threshold between type A and type B programs is 750,000. Type A programs are usually the ones that get tested. In this case for the agencies, they only have section 8. That was the only program that's applicable to be tested. So that's why it was tested for this prior year. So what I was talking about was it's a single audit when we test a major program. So we do the compliance
  9. 8:42testing, we go through eligibility, we go through program expenditures and any other requirements that are part of the program. section has a lot of special test requirements. So we do all those as well. So we test the controls, we make samples and we were there on the field I believe last year in November. That's when we did most of the testing. And like I mentioned before for the results on modified clean opinion on the major program housing choice vouchers for section H. And I did mention we had a significant deficiency but aside from that no material weaknesses and like I
  10. 9:24said this usually does not affect the agency at all. and it wouldn't affect your risk rating. And that's for the audit specifically. There was there there's nothing that will carry over that will affect the agency aside from presenting it on the reports. Uh I don't remember the specific page number. Let me see if I can have the report. By any chance, do you have the report in front of you printed out? Yes, we do. Yes, we do. Okay, that will help a lot. Are you trying to get to the finding page? Yes.
  11. 10:06It's kind of hard because I have it on a PDF, but it's on page 40. On page 39, you can see essentially the results of everything from the audit. On page 40, you can see the wording of the finding itself. And like I said, we're still going to talk about it um here in a little bit. So for the agency, pretty healthy agency. One thing that I did want to point out is that in the prior year, there was a going concern that was unrecorded by the predecessor auditor and through discussions with
  12. 10:51Jeff and our PPG internal group. Sorry, it's the professional practice group at Aprio. So, we talked to a lot of people and then we saw a lot of documentation and we had internal communication and also communication with Mr. Dodson. We believe that the going concern is alleviated and there's nothing that will prevent the HC from continuing. So, I think that's um very important to notice or to note for Mr. us and like just to see how he has had an impact with the agency in the past few years that he's been there. So I think that's that's great on him and the agency as well.
  13. 11:35So overall cash almost 500,000 which is awesome. If you see on the liabilities 1.3 million it's a little less than the assets on the outflow. for 1.5 million which is awesome and you can see it on the net position of 200,000 you do have unrestricted net position but that is mainly due to the net investment and capital assets classification which is the capital assets minus the related liabilities and if I summarize uh statement of net position just tell us what page do you have a page number for that

  15. 13:03that. So on the next page after page 15 on the page 16 you're going to see the summarize the revenues and expenses down to sorry total revenues 1.9 million. It's mainly due to the HUD operating grants section 8 which is 1.3 million like we mentioned earlier and total expenses of 1.8 9 million leading to a change in net position of 61,000 which as you notice it's an increase of 173,000 from prior year. So like I said it goes back to like Mr. Dodson putting all the efforts to having cutting cost
  16. 13:49and also increasing the revenue for the agency and that's I think that's to applaud what he has been doing for the agency. Mhm. And then going back to the finding just real quick, it it was just a few items that we had noticed here and there on the tenant files. It wasn't anything major. That's why I didn't raise to a material weakness. So yeah, I think that bookmark. So I'm glad that he's breaking it up. You want me to get you the page number again? No, 40. I was just sorry.
  17. 14:33Yes. Yeah. So, we document everything that we couldn't find on the tenant files, but like I mentioned, there wasn't anything significant that raised it to a material weakness. And again, I do want to emphasize that this will not have any impact on the organization, but it is something that we had to present on the report. Thank you, Chairman Smith. Uh just a few talking points this evening. Um the we I just want to mention about the audit findings since we just went through the audit report. Um during the review we you know was identified by the auditors that uh there was an issue but that can be largely attributed to staff transition and result of shifting responsibilities that occurred. Um so
  20. 16:42while staff turn turnover created operation challenges management has already imp implemented a corrective action plan and to address the issue strengthen internal controls and ensure compliance moving forward. We're confident that the measures now in place will prevent reoccurrence and improve overall administrative processes. Um development project naming process. Um the authority recently conducted a a resident driven naming process for the development project. Unfortunately, it was discovered that repeated ballads were submitted in support of a particular name creating a distortion of the results. Um like I could tell like the same person just it literally looked identical unfortunately.
  21. 17:26So in the interest of fairness and transparency and maintaining the integrity of the process, uh the vote will be conducted again and this time the ballots will be distributed and controlled directly by the office. So in other words, we're doing check off uh through the management office to ensure that each resident has a equal opportunity to participate and that the outcome accurately reflects the community's preference. Um financial management and accounting transition. Uh as you know we have a new accountant I mean uh uh auditor which you just heard from but we also have successfully engaged our new fe
  22. 18:04accountant CLA and already we've seen positive progress u the financial reports presented in the board package you may notice is we haven't had that in a while um and they reflect improvements in the reporting and financial oversight and so we look forward to continuing our partnership with CLA uh as we strengthen financial author operations and reporting accuracy. Uh, elevator improvements. After being out of service for an extended period, the small elevator has now been repaired and returned to service. Uh, restoring elevator operations improve accessibility and convenience for residents and represents an important step in addressing deferred neighbors concerns.
  23. 18:45Uh, heating season preparation um has not yet begun, but we're starting to work on it. and uh meaning we're getting our bids in order so that we can um ensure reliable service for the residents. Um so we're making sure that we're completing our annual boiler boiler servicing and preventive maintenance. U procuring our replacement pump for the boiler that is currently inoperable and installing the new pump to restore the boilers to full operational status before cold weather arrives. I don't know if you recall last year but uh the boilers went down um but uh they failed last heating season and because of budget conra constraints we
  24. 19:26were only allowed uh to well but we were only able to repair one unit at a time. So our objective this year is to enter the heating season with all boats is fully operational to minimize service disruptions and improve uh system reliability. Uh resident services engagement is next and last. um our residents well our residents relations which in I say department but that's us uh we hosted a successful uh kind of back to school ice cream social fortunately a grade but the the students came inside it was the first day of school and we asked them to come in and um at that time you know
  25. 20:04gave them ice cream and and also gave away books at the time and so that concludes my report um hopefully next year we can make that bigger and And um you know we just wanted to kind of uh give the kids a smile and and encourage them you know on their first day of school. Be re relevant but can you tell me what's going on over here? Very it's a little nerve-wracking that water. Yes it is. It's contained but we do have a leak in that area but that's a wasteland and it's as you can hear. So
  26. 20:38other than our meeting, we have uh prohibited uh use of the community cleaning. Yep. So it's actually in the same area um that we just have repaired, but it wasn't due to the repair. Like it's a different issue, unfortunately. It sounds like something is wrong there. Yep. It's it's it's a wasteland, but it's contained, but it's noisy as you can hear. I'm just hoping it doesn't spread. Oh, wait. I'm hoping this is spread, whatever that is. It It's been that way for some time and as I said, it is contained. So, um, fortunately, it is a little bit noisy, but it's okay.
  27. 21:22But it's yet another example of why we get to move forward with our development. Yes, it is. Um, that's it. Oh, yes. Yes. For me. Okay. We will move right on to development activities update from John Mattio from Mount Co. Thanks for coming down, John. Thank you very much. It's always great to see you guys. Um I apologize for let me go stand over here. Um I apologize for the telephone call, but it's somebody that you know, you Zambuda, um who we work with while she was with
  28. 21:57Malco. She's now with the state. Um and she's calling because I'm going to see her tonight and tomorrow at the state housing conference. because she wanted to say hi to everybody and that she misses you, but she is going to make it back here. She wanted to be at the tenant uh appreciation uh day, but she couldn't do it. But uh she'll try to make it next year. So, hello from you. Hello. Um a couple of things to report. uh three things actually, three good things um which some of you may or may not have seen in in the papers or been at the
  29. 22:28meetings but um uh on September 9th the zoning board of appeals approved uh our application. This is uh we needed uh I think five or six variances for what we've been calling the townhouse site. The six low-rise buildings on Colombia, six low-rise units we're building on uh Colombia. Um uh so the zoning board approved that uh which is great. Uh which yeah big news and that funnels into the site plan approval that we need from the planning board. Uh the planning board really couldn't uh approve the site unless they knew that the zoning was in place. So now the zoning is in
  30. 23:07place. Uh that's good. Uh on September 8th um the um planning board met uh which is a day before unfortunately. It was the other way around. It would have we would have moved quickly but it is what it is. Uh on September 8th the planning board met and uh it was I think we met for maybe two hour two and a half hours three hours went through a whole range of questions from the public from the planning board and uh at the uh towards the end of the meeting uh the planning board felt that they had enough information from the public because the public uh hearing had been kept open for
  31. 23:45I think three meetings or so. Uh so the planning board closed the public hearing. Okay. uh and there are tremendous amount of input and questions. Um and the second thing that happened uh at that meeting uh was that the uh planning board asked us to respond to any open questions that were out uh standing. They also asked us to submit additional information. One of the things they wanted to see was a materials board to see what the exterior of the building is going to look like.
  32. 24:15Um and a whole series of other other uh pieces of information. and they asked us to get that material to them by September 23rd, which is next Wednesday. Um, they also scheduled a special meeting uh on September 30th. Um, I I I don't anticipate that the planning board is going to vote on the project on September 30th. I think they want to get the material in from us on the on the 23rd, have a week to review it, and then ask us questions again on the 30th. and uh and my hope is that their next
  33. 24:51meeting, which is October 13th, I think, um they'd be in a position to vote. Okay. Again, we can't comment on uh whether uh positive vote or negative vote, but we've certainly provided an incredible amount of information. Uh and as you know, I've been doing this for a long time. a lot of planning boards throughout the county, throughout the state. We've never had as many questions uh from the planning board and the public on a project as we've had here. It's not a criticism. Uh the planning board is doing a very good job of making sure they have as much information as they feel they need. Um and we certainly
  34. 25:27have been um responding. I think uh one of the planning board the chair's comment was we we the planning board gave us 14 pages of questions and we responded with 44 pages of answers. So we we want the housing uh we we want the housing to be understood by everyone uh and we want that the planning board make sure that they have all the information they need. So, we definitely think that the planning board will have all that information um by their October meeting and will be in a position to vote if
  35. 25:59they choose to. Um and if they if they do, that certainly will fit uh it with uh with our schedule to move the project forward. Um the final thing I just wanted to give you an update on is um even though the the final site plan has not been approved. Um we've been working in order to move the project forward as expeditiously as possible, we've been working on the plans and specifications based on what we submitted to the planning board. If that changes, then we'll have to change them. But if it
  36. 26:28doesn't, um our plans are about 75% complete now. uh by the end of this month they'll be 85% complete and they can be submitted then to the city and to uh the state for their review of the project that we've actually submitted preliminary plans to the city already. Uh the um uh the building official um has looked at them. I won't say review them, but he's looked at them. Um, and we're in negotiation with the city now to have the city retain an outside consultant to review the plans because
  37. 27:06it's, you know, the plans are extensive for uh, you know, the project that we have and uh, a local building official has other responsibilities. So, if we can get an outside uh, consultant to review the plans for the city that would help with the workload and move the project quickly. U, you know, our development team would have to pay for that. Uh, that's not unusual. what happens throughout the state um from project to project depending on the circumstances but this is certainly um a circumstance which makes sense um let
  38. 27:37the let an outside consultant independent of Malco independent of the city review the plans and offer an opinion as to whether or not a building permit can be issued and that way the building official can rely on it. Um so um we're that I I've we haven't been involved in negotiations with that but my understanding is that uh uh the city is close to engaging that uh that consultant. Um so I think it's probably the timing are going to be about right by the time that consultant comes on
  39. 28:08board. It'll probably be the end of September and we'll have 85% plan completion and we can give them uh those plans to be reviewed. So those are uh three major steps forward. Um uh the last thing I would say is that um uh just to take a step back, part of the way this is financed, we talked about this is tax credit uh funding and um and we have to go out and get an equity provider, somebody to buy the tax credits uh and um the tax credit market
  40. 28:40has not uh been great in the last six months or so. It's a it's like a commodity market. it goes up and down um and depends on the need uh from lenders and and large institutions to buy the credits. Uh long story short is um in the last two weeks we've gotten uh very strong interest from two different firms. So there there's a competition to buy the credits which is good. Um and um and we're we're in the process of uh discussing terms with them. There's a
  41. 29:11whole series of things besides just the pricing on the credits. It's what guarantees they want and how much liquidity you have to put up and those types of things. So, those discussions are going on. By the time you have your next board meeting, I think we'll be in a position to tell you that we think we'll go in with this this one or that one. I can tell you that we have um done tax credit has done tax credit deals with both of these firms. They're both very reputable that they've both done a lot of work with the state.
  42. 29:40um the state would have to approve any air divider and there wouldn't be any issue with the state approving either of those. So, uh a lot of forward movement uh a lot of work still to be done. Uh and um I'm going to stop here and anybody has any questions. I have a question. Yes. Um, did you say that you are you going I was at the meeting and the way I um understood is that they want you to submit everything like a week or so prior to the 30th to the planning board. Is that what you're going to do? Yes. Okay.
  43. 30:17We're targeting the 20 We agreed with the planning board we would have an additional package for them by the 23rd. Okay. Right. Week in the third. Yes. That's absolutely correct. That's And the second question is this. How long does it take to sell and close on these tax credits? And what will happen if we don't get a viable firm to accept them or get a low bid on them or you know, stuff like that? Okay. Well, let's start with the worst situation. Thank you for pointing it out.
  44. 30:48Okay. It it what happens is and it's fairly simple. If if if the credit number comes in low and basically it's how much we get an allocation of a certain number of dollars from the state. We have X dollars of tax credits for we try to sell them and what happens is an investor will pay anywhere from 60 cents to the highest we've ever seen uh a$18. Okay. Okay. Usually those are in big projects in New York City. You're not going to see that up in this area of the state.
  45. 31:22So, we negotiate back and forth and let's say we come in with a lower price than we wanted, but that creates a gap in the budget. We show it to the state and the state knows because the state sees tax credit applications from all over and they'll say, "No, wait a second. You got have to go back. You got to you got to get a higher number than that." Or they'll say, "You know what? That's the right number for this area at this particular time." And then they're going to have to make up the G. that they're going to have to, but we're
  46. 31:53going to show them the gap and they're going to know that the gap is not our fault. The gap is just that's what the market is. Okay. So, so we want to get as high a number as possible. The numbers uh that we're using now uh are um they came in better than what we thought. Okay. Uh but there's still a gap um between the amount of money we need and and amount of money coming in. It's not because of the tax credits. One of the things that we've always talked about is there are
  47. 32:24certain characteristics of this project that create an in inherent um gap in funding. One is the rents that are limited by the RAD program. Okay, they're very very low rents and that makes it tough to carry the building and you know we've gone back to HUD. We can't get those rents increased. So we have to live with that. Okay, the brownfield. Okay. There's additional costs for brownfields. Okay. Um and not all of which may be covered. I think they will be uh but that's an added
  48. 32:56cost. We've got soil conditions. One of the things we always talk about separate from brownfields. Okay. Is we're going to get brownfields money. But brownfields is an environmental cleaner. Okay. Okay. So, we're cleaning up the site. We're going to get money for that. But the site is essentially clay. So, we can't put a building on it without putting piles in. That's an added cost that you don't have in a lot of projects. So, that adds to the the gap between the money we come coming in and the money that we need to pay for things.
  49. 33:29So, um and and the state again reviews all this uh and make sure that what we're telling them is correct. In other words, we're going to say, "Listen, here's the amount of money we need from you and this is why." And they're going to look, okay? They're going to look at our soils report. They're going to look at the brownfields. They're going to look at what's going on in the credit market and they'll determine, you know, okay, these guys are telling us the right thing. These are the right
  50. 33:52numbers. Can we have it? Can we come up with enough money to fund the project? So, that I think one of your questions in there was how long does it take to negotiate uh with the with the tax credit companies, the syndicators? Um it I would say we probably have about another month or so to pick between the two. And then once you do that, uh it it'll take another uh another month or so to come up with uh at the end of that month, you probably have a what's called a letter of intent, which will be an outline of of the deal. And then uh after that, you get into detail loan
  51. 34:30documents and those types of things. And that'll that negotiation will go on all the way to the day you close. That's about 90 days you're saying, pardon me. Like a period of maybe 90 days. Yeah, even more than that. Even more than that. Okay. And it could be shorter, but usually it it takes a little time. But all all this is a typical tax credit transaction. There's nothing in here that uh any of the syndicators, any of the letter of credit banks or the state have not seen. Any questions for John?

Okay, if I can make a comment, I just want to thank um a whole team, you know, Marco, uh the the the architects, the uh the civil engineers, the environmental engineers, everybody who was really working hard to uh uh push our project forward along with our commissioners and residents um folks that support the project. So, but I just wanted to, you know, say thank you for because there's a lot of work. So, we saved it. Yes.
  53. 35:36I mean, but but people are I mean, obviously people are getting paid, but they are showing up and and and not just um they're holding their weight. It's a minute. It's been a it's been a great team effort. It really is. It has been. And there's some times when we have to, you know, email back and forth to get what we need and and coordinate all of that. It's very difficult, but um we get it done. So, I just want to thank you for that. Thanks for your time.

Um, I just want to um go back to the the resident engagement that I just really want to thank my staff, particularly Miss Owens, who, you know, did she was actually the hands-on person with Dr. And then also uh a couple of our residents pitched in as well uh Miss Lucy and helped and gave I I don't want to leave them out. They they did it willingly um and I really appreciate them for giving together and helping us out. So let it nice. Thank you.

The first thing on new business is we have resolution for approval to extend theou agreement between HHA and MCO. That resolution. Yeah. Yeah. That resolution is number 562. That's this one right here. You remind me of the development company. Oh, okay. Oh, yep. Yep. Resolution number 562U memorandum understanding extension. Whereas on September 18th, 2023, the authority approved a memorandum of understanding with Monco Ltd. theou for the redevelopment of its housing portfolio including development of replacement housing for existing
  56. 37:50residents and whereas theou provided certain time frames for finalizing development plans and for obtaining financing for redevelopment work whereas the parties of the have worked together diligently to finalize plans local approvals and obtain financing for the redevelopment whereas the time frame set time frame set forth in that do have to pass But the parties agree that significant progress has been made toward the goals of the MLU and that additional time is necessary to advance the redevelopment. Now therefore, be it resolved that the board hereby authorizes the executive director to renegotiate and execute an extension
  57. 38:28time with Montel Ltd to complete the redevelopment of the authorities portfolio. Are we going to be putting Go ahead. You go, girl. I I Are we going to be putting a timeline on it like we did before? The before we did a three-year because we did it in 23 and now it's up or how how are we working there? Um what do you recommend? I'm not I can I can recommend that um because of new board members that you send out the um send it out so you can read it cuz I don't know if I've seen the agreement with Yeah, the MOU.
  58. 39:12Oh, the memorandum of understanding. I don't think I've seen that. Yeah, you definitely did it because you did it in 2023. No, I don't even think I' seen it. So I'm just saying if for new members if you could send it out for us to um read it at least before we kind of agree. Sure. Okay. Do you want to be we will table this the following year and then you you'll be we discuss the time the the how much the extension is. Yes. How about like two more years? Yeah.   60. 40:38program where is the Hudson Housing Authority HJ administers the housing choice voucher HCG program under the US department of housing and urban development and whereas HUD measures the performance of public housing authorities PHA to en uh to ensure that authorities operate the program as prescribed by statuses and regulations and whereas the CNAP performance Indicators assess 14 specific areas and raise the fuel date in accordance with a designated formula as high performer standard or troubled and whereas the report ant anticipates the rating of standard. Um, and so because of that, they consider that there's a shortfall in the funding program for section 8, the other programs, but I I'm speaking of section 8 because that's what we operate. Um and because of that worldwide you'll find that um other programs are also not issuing vouchers or receiving them. So if we were to port for example which is what you're talking about like if you wanted to move to
  69. 46:38Florida Florida we would have to establish that we're billing or we're paying and we're going to say that we're billing. So meaning we're going to build that agency that you try to move to to Florida so that they can pay for your voucher.
